These general terms and conditions (the “Terms”) apply between Noord Mind AB, org.nr 559523-7511 (“Noord”), and each person (the “Participant”) who books and participates in retreats organized by Noord Darkness Retreats (“Retreat”). The Terms apply to both current and future Retreats. Noord and the Participant are collectively referred to as the “Parties” and individually as a “Party”.
**2.1.**After booking, the Participant must complete a health declaration with information regarding conduct, fitness and safety (the “Health Declaration”). This, together with these Terms and Conditions, constitutes the entire agreement between the Participant and Noord for participation in the Retreat and other dealings between the Parties. The Terms and Conditions are accepted in connection with booking via Noord's website, where the Participant also confirms that they have read and agreed to the content.
**2.2.**Noord reserves the right to refuse participation if information in the Health Declaration, or in other contact, shows that the retreat is not suitable for the Participant physically or mentally. This also applies if the Participant withholds relevant information. In such cases, the participation fee will be refunded, but no further compensation will be paid.
**2.3.**In case of conflict between documents, the following priority of interpretation applies:
**3.1.**The retreat consists of accommodation in total darkness for a specified period, daily serving of hot meals via a serving hatch, and an introductory talk conducted on arrival, see also point 4. The retreat is a form of recovery and personal development within the framework of wellness and is not to be regarded as care or therapy. The possibility of coaching sessions can be offered as an option.
**3.2.**Noord has the right to make organizational changes such as changing the retreat host, adjusting meals, equipment or practical details, without this being considered a fault or giving the right to compensation. In case of significant changes, the Participant will be informed in advance.
**3.3.**The Participant is responsible for arriving at the retreat center on time. Noord is not responsible for transportation costs, delays or other consequential costs related to the Participant's travel. The Participant is encouraged to book their transportation with good time margins.
**3.4.**Noord guarantees a private, darkened retreat room with sleeping space, toilet and washing facilities. The room standard and facilities are described in the digital welcome material sent after the confirmed booking.
**3.5.**Noord will do its best to accommodate meals based on notified allergies or dietary preferences, provided that the information is provided at least 14 days before the start of the retreat. If special requests cannot be met, the Participant will be informed. Price reductions are not granted.
**3.6.**The retreat rooms are equipped with environmental monitoring technology, e.g. measuring temperature, air quality and other basic parameters. The aim is to ensure a safe and stable retreat environment. These measurements take place automatically in all rooms and are not linked to individual participants, but reflect the environment as a whole.
**3.7.**The participant can also opt for a biometric and psychometric option, which may include non-visual and body-related data collection - for example, movement patterns, resting positions and self-reports. The purpose of the option is to enable biofeedback, self-regulation and impact measurement in the context of the retreat. The data is kept strictly confidential and can be used by Noord or trusted partners for research and development, in accordance with applicable regulations. This option is selected at the time of booking and is not included in the basic retreat price. More detailed information on how this data is handled can be found in our privacy policy.
4.1.Before the retreat, an introductory conversation is held between Noord and the Participant. The conversation aims to create security and clarify expectations for the process. This is mandatory for all participants.
**4.2.**Optional additional services can be offered such as preparatory wellness talks and subsequent coaching talks. These sessions are optional, booked separately and not included in the basic price of the retreat. The wellness session aims to facilitate preparation for the retreat, while the coaching session is offered after the retreat and focuses on the integration of experiences and continued self-regulation. Information on options will be provided at the time of booking confirmation.
**4.3.**For Participants booking a premium package, a starter kit containing selected products designed to support recovery and self-regulation is included. The starter kit is personal and may be kept by the Participant after the retreat.
5.1.Prices for Noord's retreat programs and events are quoted at the time of booking and include VAT where applicable. Prices may be updated by Noord at any time before the booking is made, but not after the booking has been finalized by the Participant.
**5.2.**Payment is made in full in connection with the booking via Noord's digital booking system. The booking is binding as soon as the payment has been completed. By completing the payment, the Participant also accepts these General Terms and Conditions.
**5.3.**For certain options such as Premium Biometric & Psychometric Data Package, extended wellness sessions, extra coaching sessions or other optional services, there are additional fees that are specified before booking. These extras are invoiced or paid for separately via the booking system and are not included in the basic price of the retreat.
**5.4.**Noord does not normally send out invoices to private individuals. Invoicing can be offered to organizations and companies that fall within Noord's areas of activity by special arrangement. The booking is only confirmed when the invoice is paid. By paying the invoice, the Participant accepts these Terms.
**5.5.**Payment is handled through external payment services such as Stripe, Swish and Klarna. The Participant is aware that each such provider provides its own terms of use and privacy policy, which the Participant is responsible for reading and approving before payment is made. Noord is not responsible for any transaction costs, interchange fees or other additional charges incurred by these third-party services. Payment data is not processed and stored by Noord, but is handled by the respective payment service provider according to their security procedures. Only the necessary data is transmitted to enable the execution of the transaction. Refunds are made, where applicable, via the same payment service used at the time of purchase and in accordance with the respective provider's procedures. In the event of a dispute or technical problems related to payment, the Participant is referred in the first instance to the customer support of the relevant payment service.
**5.6.**Noord is entitled to deduct reasonable administrative costs incurred in connection with processing the refund.
**5.7.**Confirmation of the booking and any participant information will be sent by e-mail to the address provided by the Participant when booking. The Participant is responsible for ensuring that access to this e-mail works and that any errors are immediately reported to Noord. The participant should check that the content of the confirmation matches the completed booking.
**5.8.**Noord gift cards can be used as a means of payment for available retreat programs, as indicated on the Noord website. Gift vouchers are not redeemable for cash, and lost or mislaid gift vouchers will not be replaced.
**5.9.**Noord reserves the right to adjust obvious pricing errors on the website or booking page before the booking is made. In the event of an incorrect price that obviously deviates from the market price and that has arisen due to a technical error or mistake, the booking can be denied with a full refund.
6.1.Private individuals (consumers)
The participant has no right of withdrawal under the Distance and Off-Premises Contracts Act (2005:59) (undantagsregeln i 2 kap. 11 § punkt 12) after the booking has been made and payment has been made, in accordance with the exemption rule in Chapter 2, Section 11, point 12, when the retreat relates to a leisure activity with a fixed date and scope.
However, the participant is offered the opportunity to, free of charge and on one (1) occasion, rebook their place to another Retreat within Noord's range. This requires that:
·The request for rebooking is made at least 60 days before the first day of the Retreat.
·The alternative Retreat location is available and approved by Noord.
The participant is responsible for ensuring that the rebooking is made in time as described above. Rebooking cannot be done to a Retreat with a higher cost without a difference, and no refund will be given if the new Retreat has a lower price. Non-attendance (so-called “no-show”) does not entitle to rebooking or refund. There is no right to further rebooking.
Promotional bookings and early-bird offers are binding and cannot be rebooked or refunded, regardless of when the request is made.
However, the ticket can be transferred to another person up to 7 days before the start of the retreat, provided that:
·the new participant completes the Health Declaration, and
·is approved by Noord under the same conditions as for the regular booking.
6.2.Corporate bookings
For corporate bookings, the booking is binding upon payment of the invoice. No right of withdrawal or rebooking option applies. All costs are final and non-refundable.
6.3.Cancellation of retreats
Noord reserves the right to cancel a Retreat for reasons including, but not limited to, force majeure, staff illness, governmental decision, insufficient number of participants or other circumstances that make the Retreat not reasonably possible to be carried out as planned. In the event of a canceled Retreat, the Participant will in the first instance be offered the opportunity to be rebooked free of charge to another equivalent Retreat. If such rebooking is not possible or desired, the fee paid will be refunded in full. No further compensation will be paid. Noord is not responsible for costs incurred by participants for travel, accommodation outside the Retreat or other ancillary costs.
7.1.Personal responsibility and respectful behavior
The participant commits to behave in a respectful and considerate way towards other participants, staff and the retreat environment. The participant is expected to follow the instructions and guidelines given by Noord before, during and after the retreat, in order to maintain safety and a safe community.
7.2.Deviant or disruptive behavior
Noord has the right to refuse or cancel the Participant's participation, without the obligation to refund the participation fee, if the Participant exhibits behavior that is deemed to be destructive, seriously disruptive, threatening or otherwise incompatible with the purpose or implementation of the retreat. Any additional costs in connection with this, including the return journey, are paid by the Participant.
7.3.Prohibition of alcohol and drugs
During the retreat, the consumption of alcohol, drugs, other intoxicants or medicines is not permitted without prior agreement with Noord. Violation will result in immediate suspension of participation, without the right to a refund.
7.4.Environmental and site responsibility
The participant is responsible for treating the retreat premises, equipment and surroundings with care. Damage caused by negligence may result in liability for compensation.
7.5.Carpooling and activities outside the retreat program
If the Participant participates in carpooling or other activities outside the retreat program, this is entirely at their own risk. Noord is not responsible for any damage or loss in connection with such activities.
7.6.Photo, audio and video - marketing
Photos, audio or video may be collected for marketing purposes in Noord's digital channels. Such documentation only takes place after separate, informed consent from the Participant. Consent is voluntary and does not affect the Participant's ability to participate in the retreat.
Noord is exempt from liability for failure to fulfill its obligations under these Terms and Conditions if such failure is caused by circumstances beyond Noord's control, which could not reasonably be foreseen, avoided or overcome. Such circumstances include - but are not limited to - natural disasters, pandemics, war, strikes, governmental decisions, fires, power failures, technical breakdowns, or other comparable events.
If a force majeure situation occurs, Noord shall notify the Participant without delay. If the situation persists for more than 30 days, both parties have the right to terminate the agreement, in which case any fee paid for the service that could not be provided will be refunded to the Participant. No further compensation will be paid.
**9.1.**Participants who experience shortcomings in the retreat experience, or who wish to make comments or complaints, are asked to contact Noord in the first instance by email to hello@noorddarkness.com or other specified contact route as soon as possible. This is to give Noord the opportunity to deal with and remedy any shortcomings during or in direct connection with the Retreat.
**9.2.**Complaints should be made without undue delay and no later than 14 days after the end of the retreat. After this time, complaints cannot be guaranteed to be dealt with.
**9.3.**In the event of complaints or disputes, Participants who are consumers also have the opportunity to turn to the General Complaints Board (ARN), provided that the matter falls within their area of jurisdiction.
**9.4.**This right of complaint does not apply to changes that have been clearly communicated before the start of the retreat, or deviations that are within the scope of what can reasonably be expected in a retreat environment.
**10.1.**Noord is not responsible for any physical, mental or emotional impact experienced by the Participant during or after the Retreat, provided that these have not arisen due to gross negligence on the part of Noord. The purpose of the Retreat is recovery and self-regulation, but it does not replace medical care or therapy.
**10.2.**Noord is not liable for indirect damages, such as loss of income, loss of use, or similar consequential costs, regardless of the cause.
**10.3.**The participant is responsible for providing correct information in the Declaration of Health and for not participating if there are medical obstacles. Noord is not responsible for the consequences of incorrect or incomplete information.
**10.4.**Noord's liability to each individual Participant is in all cases limited to the amount paid by the Participant for their place on the relevant Retreat.
**10.5.**Noord has a business insurance policy that includes liability insurance for personal injury and property damage, including product liability. Participation in Noord's retreat program is otherwise at your own risk. Noord is not responsible for personal injury, illness, property damage, theft, delays, non-participation or other direct or indirect damage beyond what is covered by the insurance or where Noord is not liable by law. The participant is responsible for:
·Assessing their physical and mental ability to participate.
·Providing complete and correct information in the Health Declaration.
·Have their own valid accident insurance and any travel insurance that covers retreat participation, including for travel, activities or illness.
**11.1.**Communication from Noord is primarily via e-mail to the address provided by the Participant when booking. The Participant is responsible for ensuring that the information is correct and for checking their inbox (including spam) before the retreat.
**11.2.**Essential information such as booking confirmation, welcome material, check-in instructions and other preparatory communications are sent digitally. It is the Participant's responsibility to take note of this information.
**11.3.**In the event of changes affecting the organization, date, time or content of the Retreat, Noord will contact the Participant by email without undue delay.
**11.4.**The Participant can contact Noord via the contact details at www.noorddarkness.com or via e-mail: hello@noorddarkness.com.
**12.1.**These Terms are governed by Swedish law.
**12.2.**Disputes arising out of these Terms or participation in the Retreat shall primarily be resolved through dialog between the Parties.
**12.3.**If a dispute cannot be resolved by agreement, Participants who are consumers can turn to the General Complaints Board (ARN). Noord undertakes to participate in ARN's examination if the matter falls within the Board's jurisdiction.
**12.4.**In other cases, the dispute shall be settled by a Swedish general court with Stockholm District Court as the first instance.
